These terms are the agreement between you and Embiro Technologies for using Yadi. They cover what you can expect, what you’re responsible for, how billing works, and the limits of our liability. By creating an account or using Yadi, you accept them.
Who we are and what these terms cover
Yadi is operated by Embiro Technologies (U) Limited, a company registered in Uganda. These terms govern your use of Yadi. If you use Yadi for an organization, you accept these terms for that organization and confirm you are authorized to do so.
Who can use Yadi
You must be at least 18 and able to enter a contract. You must be authorized to connect the tools and act on the accounts you link to Yadi.
Your account and workspace
Keep your login details secure; you are responsible for activity under your account. A workspace has admins, who configure teammates, integrations, and billing, and members, who use them. Admin settings bind the whole workspace.
What Yadi does
Yadi gives you AI teammates that perform tasks across the tools you connect, acting on your instructions and the autonomy you set. Yadi assists you; it does not replace your own judgment.
Using Yadi responsibly
Don’t use Yadi to:
- send spam or unlawful messages, or impersonate others;
- break the law or the terms of a service you connect;
- infringe anyone’s rights, including privacy and intellectual property;
- attempt to breach the security of, reverse-engineer, or copy the service;
- process data you have no right to process.
We may suspend or close accounts that do.
Letting your teammate act for you
You decide what a teammate does automatically and what waits for your approval. Messages to anyone outside your organization, and any movement of money, always require your explicit approval. You remain responsible for the actions you approve or configure to run automatically.
Connected third-party services
When you connect a tool, your use of it stays subject to that provider’s terms. We are not responsible for third-party services, their availability, or their actions, and you are responsible for keeping the right to use the accounts you connect.
AI output
Teammates use AI, which can be wrong or incomplete. Review important output before you rely on it. Yadi does not provide legal, financial, tax, or other professional advice, and its output is not a substitute for a qualified professional.
Fees and billing
Paid plans bill monthly in advance. AI usage is capped by your daily budget; we stop at the limit and resume the next day. Fees are stated exclusive of taxes, and you are responsible for any taxes due, including Ugandan VAT where it applies. Fees are non-refundable except where the law requires otherwise. We may change pricing with notice before your next renewal.
Who owns what
We own Yadi — the platform, software, and brand. You own your content and the data you bring, and you grant us the limited licence needed to host and process that content to provide the service. You may not copy, resell, or build a competing service from Yadi.
Confidentiality
Each side will protect the other’s non-public information and use it only for the purpose of this agreement.
Data protection
Our handling of personal data is governed by our Privacy Policy and, for business customers, our Data Processing Addendum, which forms part of these terms.
Suspension and termination
You can stop using Yadi and delete your account at any time. We may suspend or end access if you breach these terms, fail to pay, or use Yadi in a way that creates risk. On termination, your right to use Yadi ends and we delete your data as described in the Privacy Policy.
Service provided “as is”
We work to keep Yadi reliable, but we provide it “as is” and “as available”, without warranties of any kind to the extent the law allows. We do not promise the service will be uninterrupted or error-free.
Our liability
To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential losses, lost profits, or lost data. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability that cannot be limited under Ugandan law.
Indemnity
You will cover us against claims arising from your misuse of Yadi, your content, or your breach of these terms.
Changes
We may update these terms or the service. We will post changes and, for significant ones, give notice. Continuing to use Yadi means you accept the updated terms.
Governing law and disputes
These terms are governed by the laws of Uganda. We will first try to resolve any dispute with you informally. If that fails, the courts of Uganda have exclusive jurisdiction, and you and we submit to them.
General
These terms are the entire agreement between us on this subject. If a part is unenforceable, the rest stands. We may assign these terms in connection with a merger or sale of the business; you may not assign them without our consent. Our failure to enforce a term is not a waiver of it. Notices to you go to your account email; notices to us go to legal@embiro.com. Neither side is liable for delays caused by events beyond its reasonable control.
